Affiliate Program Terms & Conditions

Thanks for your interest in partnering with Orvex. We’ve kept this as clear as we can. Here’s the short version first, then the full terms.

This summary is for convenience only — the full terms below are what legally apply.

  • You earn 10% commission every time someone orders with your code (on the product subtotal, after discount, before shipping and tax).
  • Your audience gets 10% off with your code.
  • It’s free to join, you get your own code, and we pay monthly once you’ve earned at least $50 — smaller balances roll over.
  • We only sell products for laboratory research use, so all your content must keep that research-only framing — no human-use, medical, or dosage claims — and you must disclose that you’re an affiliate (e.g., #ad).
  • We’ll give you approved content to make this easy. Breaking the research-only or advertising rules can pause your code and forfeit unpaid commissions.
  • You’re an independent partner and handle your own taxes.

 

1. Welcome & Who Can Join

We’re glad you want to partner with us. These Affiliate Program Terms & Conditions (“Affiliate Terms”) explain how the Orvex Co LLC (“Orvex,” “we,” “us”) affiliate program (the “Program”) works and the few rules that keep it running smoothly and legally. To join, you must be at least 21 years old, apply, and be approved by us. We review applications and manage the Program at our discretion. These Affiliate Terms work alongside — and incorporate — our Terms & Conditions, Privacy Policy, Shipping Policy, and Returns & Refunds Policy; if there’s ever a conflict about Program matters, these Affiliate Terms apply.

2. You’re an Independent Partner

As an Affiliate, you’re an independent contractor — not an employee, partner, agent, or franchisee of Orvex. That means you run your own channels your way, but you also can’t speak for Orvex or make commitments on our behalf. You’re responsible for your own taxes on what you earn (we’ll issue a Form 1099 where required), so please keep your legal and payment details accurate and up to date.

3. Your Code & How Referrals Are Tracked

When you’re approved, we give you a unique discount code (your “Code”) and, where available, a referral link. We track your referrals primarily through your Code at checkout; if we give you a tracking link, that can work as a backup. Please don’t alter, recreate, or disguise your Code or any tracking. We can’t pay commission we can’t track — for example, if a customer doesn’t enter your Code, or if tracking is blocked by browser settings or ad blockers.

4. What You Earn

You earn a 10% commission each time your Code is used on a completed, paid order. Commission is calculated on the net product subtotal — the amount paid for products after any discount, and before shipping and taxes. You earn per qualifying order (the Program doesn’t track individual customers for life). We may adjust the commission rate going forward, as explained in “Changes to the Program.”

5. What Your Audience Gets

Your Code gives your audience 10% off the product subtotal each time it’s used at checkout. Only one affiliate Code applies per order, and affiliate Codes can’t be combined with each other. We can modify, pause, or cancel any Code at any time — including right away and without notice — if an Affiliate breaks these Affiliate Terms or the law.

6. When Commissions Are Paid — and When They’re Not

Commissions start as “pending.” A commission becomes payable once (a) the customer’s payment has fully cleared, and (b) the return, refund, and chargeback window has passed. Orders that are cancelled, returned, refunded, charged back, fraudulent, or placed in breach of these Affiliate Terms don’t qualify, and we may withhold, reverse, or reclaim (“claw back”) the related commission — including by deducting it from your pending or future balance. If we suspect fraud or a violation, we may hold commissions while we look into it. This keeps the Program fair for everyone.

7. Getting Paid

We pay commissions monthly, in U.S. Dollars, for orders that have cleared the holding period, once your payable balance reaches $50. Smaller balances simply roll over and keep adding up until you reach that amount. We pay by the method agreed when you join (for example, ACH/bank transfer, PayPal, or Zelle), and — if you prefer, where offered — you can take your earnings as Orvex store credit instead. We aren’t responsible for fees charged by third-party payment providers.

8. Please Don’t Refer Yourself

Your Code and link are for your audience, not for your own orders — self-referred or self-purchased orders don’t earn commission. If we offer it, we may give you a separate personal-use discount for your own purchases, which doesn’t generate commission.

9. Keep It Research-Only

This is the most important rule, and it protects both of us. All Orvex products are sold strictly for in-vitro laboratory research use only — not for human or veterinary consumption, and not for diagnostic, therapeutic, or clinical use. All of your content must keep this research-only framing, and must never state, imply, or suggest that any product is meant for human or animal use.

10. Tell People You’re an Affiliate

When you promote Orvex, clearly and visibly disclose that you’re an affiliate, as required by the U.S. Federal Trade Commission’s Endorsement Guides — for example with “#ad,” “paid partnership,” or “affiliate.” Keep the disclosure easy to notice; don’t bury it behind links, hashtags, or a “more” button. It builds trust and keeps everyone compliant.

11. What Not to Do

To keep the Program compliant and protect both of us, please don’t:

  • Claim or imply Orvex products are for human consumption, injection, topical use, or any therapeutic, medical, or veterinary purpose;
  • Make any medical, health, disease, or performance claim (for example, that a product treats, cures, prevents, or improves anything);
  • Give dosing, reconstitution, administration, or usage instructions of any kind;
  • Use fake, incentivized, or misleading testimonials, reviews, or “before and after” content;
  • Use spam, unsolicited bulk email or messaging, bots, automated traffic, cookie stuffing, or misleading redirects;
  • Bid on or use Orvex’s brand name, trademarks, product names, or misspellings in paid ads without our prior written permission;
  • Post Codes on unauthorized coupon or deal sites;
  • Misrepresent Orvex, its products, or pricing, or modify or recreate product labels or packaging; or
  • Promote Orvex in any way that breaks a platform’s rules or the law.

We may ask you to edit or remove any content at any time, and we’ll give you approved language and creatives to make compliant promotion easy.

12. Using the Orvex Brand

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Orvex name, logo, and approved materials — only to promote Orvex products under the Program and in line with these Affiliate Terms. You don’t gain any ownership rights. This license ends automatically when your participation ends, at which point please promptly remove all Orvex names, logos, links, and Codes from your channels.

13. Following the Law Is on You

You’re responsible for making sure your marketing complies with all applicable laws, including the rules of the Federal Trade Commission, the CAN-SPAM Act, and the Telephone Consumer Protection Act (TCPA). Your content and channels are yours to run and yours to keep compliant.

14. Ending the Partnership

Either of us can end your participation at any time, with or without cause, on notice (email is fine). Beyond that, we may immediately suspend or end your participation, cancel your Code, and forfeit unpaid commissions if you break these Affiliate Terms, our Terms & Conditions, or the law — or if you do something we reasonably believe is fraudulent, deceptive, or harmful to Orvex’s reputation or legal standing, including breaking the research-only or marketing rules above. We’d always rather resolve things, but we keep these rights to protect the Program. When participation ends, all licenses end and you’ll need to stop using Orvex materials.

15. Covering Each Other (Indemnification)

Because you control your own content, you agree to indemnify, defend, and hold harmless Orvex and its owners, officers, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your marketing activities, content, or claims; your breach of these Affiliate Terms or the law; or any regulatory action resulting from your conduct.

16. No Guarantees

The Program is provided “as is.” We don’t guarantee any particular earnings, sales, traffic, or that the Program will always be available, and you take part at your own risk.

17. Limits on Liability

To the maximum extent allowed by law, Orvex isn’t liable for any indirect, incidental, special, punitive, or consequential damages arising from the Program, and our total liability to you for any Program-related claim won’t exceed the total commissions we paid you in the three (3) months before the event that caused the claim.

18. Keeping Things Confidential

Please keep confidential any non-public information we share with you through the Program — such as commission arrangements or business processes — and use it only to take part in the Program.

19. Changes to the Program

We may update these Affiliate Terms, the commission rate, the customer discount, or any part of the Program at any time. We’ll post or email the changes with an effective date, and they’ll apply going forward to orders and activity after that date. Staying in the Program after that means you accept the updates.

20. Governing Law & Disputes

These Affiliate Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute relating to the Program is handled under the binding arbitration and class-action-waiver provisions in the Orvex Terms & Conditions, which are incorporated here by reference.

21. Electronic Acceptance

By applying to or taking part in the Program, you agree that your electronic acceptance is an electronic signature under the E-SIGN Act and applicable state law (including UETA), with the same legal effect as a handwritten signature.
