Membership Program Terms & Conditions

These Terms & Conditions (“Program Terms”) govern participation in the Orvex Co LLC (“Orvex,” “we,” “us”) Membership Program (“Program”). By enrolling in a paid or free membership tier, you agree to these Program Terms in addition to our general Terms & Conditions and Privacy Policy.

1. Membership Tiers & Pricing

A summary of benefits by tier is available on the Program page. Orvex reserves the right to modify tier pricing and benefits at any time; changes will apply from your next billing cycle and will not retroactively affect a cycle you have already paid for.

2. Billing & Renewal

• Paid memberships are billed on a recurring basis (monthly or annual, based on your selection) until canceled.
• Annual plans are billed once per year at a discounted rate equivalent to two free months compared to paying monthly.
• You may cancel your membership at any time. Cancellation takes effect at the end of your current paid billing cycle; you will not be charged for the next cycle, and no partial refund is issued for the remainder of a cycle already paid.
• Upgrading to a higher tier takes effect immediately. You will be billed a prorated amount for the remaining days of your current cycle, and will immediately begin receiving the new tier’s cashback rate and shipping benefit.
• Downgrading to a lower tier takes effect at your next renewal date. You retain your current tier’s benefits, including its store credit accrual rate, until then.
• Your renewal/anniversary date does not change when you upgrade or downgrade tiers.

3. Store Credit

As part of the Program, your account accrues “Store Credit” — a single running balance shown in your account dashboard.

• Store Credit has no cash value. It cannot be redeemed for cash, exchanged for a gift card, or transferred to another account or person.
  
• Store Credit may be applied toward qualifying purchases at checkout, in any amount up to the lesser of your available balance or your order’s subtotal, including up to 100% of an order.
• Store Credit cannot be combined with promotional discount codes or other site-wide offers (including Subscribe & Save) in the same order. Orders using Store Credit remain eligible for applicable free-shipping thresholds, calculated on the order subtotal before Store Credit is applied.
• Store Credit balances reset once per year, on your personal membership renewal date; any unused balance is forfeited at that time. We will send reminder emails in advance of your reset date.
• All unused Store Credit is forfeited immediately upon cancellation of your membership.

4. Automatic Monthly Credit

Active paid members receive Store Credit automatically added to their balance each billing cycle:

Annual members receive the full year’s automatic credit added to their balance at the time of payment. This benefit stops immediately if a membership is cancelled.

5. Purchase Cashback

• Paid members earn Store Credit on qualifying purchases at a flat rate by tier: Insider 5%, VIP 7%, Founder 10%.
• Cashback is calculated on the amount actually charged for your order (after any qualifying discount, such as a promo code or Subscribe & Save), regardless of how much of that order, if any, was paid using existing Store Credit.
• Cashback is added to your balance once your order is confirmed and paid.

7. Monthly Membership Gifts

Paid tiers include complimentary items shipped with your first order of each billing cycle, at no additional cost:

• Insider & VIP: 1 BAC vial and 1 notepad & pen kit.
• Founder: 2 BAC vials, 1 notepad & pen kit, and a rotating “Vial of the Month” selected at Orvex’s discretion.
  
• Gift items are limited to one set per billing cycle per account and are subject to product availability. Orvex may substitute an item of comparable or greater value if a listed item is temporarily unavailable.

8. Referral Program

• Available to members on the Insider, VIP, and Founder tiers.
• When a customer you refer (a) enrolls in any paid membership tier and (b) completes a paid, confirmed first order of $100 or more, both you and your referred customer will each receive $50 in Store Credit.
• A maximum of 5 rewarded referrals per account, per calendar month, applies.
• Referred customers must be new to Orvex and not previously associated with the referring account (e.g., same payment method, shipping address, or other identifying information).
• If a qualifying referral order is later cancelled and refunded, the associated $50 Store Credit issued to both parties will be reversed.

9. Program Integrity, Eligibility & Fraud

• The Program is limited to one account per person or household. Orvex may request verification of identity or eligibility at any time.
• Orvex reserves the right to suspend or terminate a member’s account, membership, and/or Store Credit balance — without prior notice — if it reasonably suspects fraud, abuse, or a violation of these Program Terms, including but not limited to referral fraud.
• A member whose account is suspended or terminated under this section may submit a claim for review by contacting support@orvex.co. Orvex will review such claims and may, at its discretion, reinstate the account and/or associated Store Credit.

10. Changes to the Program

Orvex reserves the right to modify, suspend, or discontinue the Program, or any individual benefit within it (including pricing, credit rates, shipping thresholds, and gift items), at any time. Material changes will be posted on this page and, where required by applicable law, communicated to members by email in advance.

11. Disclaimers & Limitation of Liability

The Program is offered as a customer loyalty benefit in connection with the purchase of Orvex’s research-use-only (RUO) products, subject to Orvex’s general Terms & Conditions. To the fullest extent permitted by law, Orvex is not liable for indirect, incidental, or consequential damages arising from participation in the Program, including the accrual, use, or forfeiture of Store Credit.

12. Governing Law & Contact

These Program Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising out of or relating to the Program is subject to the binding arbitration and class-action-waiver provisions set out in the Orvex Terms & Conditions, which are incorporated herein by reference.
